State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

The Quarterly Report on Form 10-Q of NewHold Investment Corp. (the “Company”) could not be filed within the prescribed time period due to the fact that the Company was unable to finalize its financial results without unreasonable expense or effort. As a result, the Company could not solicit and obtain the necessary review of the Form 10-Q in a timely fashion prior to the due date of the report.

EXHIBIT A

 

NewHold Investment Corp. (the “Company”) was incorporated on January 24, 2020 and its activities for the period from inception through March 31, 2020 consisted only of the initial preparatory steps for a public offering that closed in August 2020. As such, it had no revenues and had incurred only $2,000 of expenses for a net loss of $2,000. No public or private warrants had been issued.

 

For the three months ended March 31, 2021, the Company anticipates reporting a net loss of $4,082,000 due to the combined effects of $1,456,000 in general and administrative expenses and the change in fair value of warrant liability expense of $2,646,000.
